1. Acceptance of Terms
By downloading, installing, accessing, or using AGNT ("Software", "Service", provided by AGNT GG, Inc.), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the Software.
2. Software License & Local Execution
AGNT Community Core is licensed under the AGNT Community Core License. It is free for personal use, education, research, registered nonprofits, and businesses with under US$1,000,000 in revenue and fewer than 10 people. Other commercial use requires a paid plan; paid setup, services, or resale for others require a Certified Partner license; and white-labeling, OEM, or hosting AGNT for others requires an Enterprise agreement. Where these Terms and the License differ on use of the Software, the License controls.
3. Autonomous Tool Execution & User Responsibility
AGNT includes capabilities to interact with local filesystems, execute shell commands, call external APIs, and run automated workflows. You acknowledge and agree that:
- You are solely responsible for configuring tool execution permissions and reviewing approval modals presented by the Software.
- AGNT GG, Inc. is not liable for actions taken by autonomous agent tools executed under your configuration or approval.
- You will not use AGNT to conduct illegal activity, unauthorized network scanning, data exfiltration, or malicious system disruption.
4. Ownership of Content & Artifacts
You retain 100% ownership of all prompts, code, files, workflows, generated outputs, and execution receipts created using AGNT. AGNT GG, Inc. claims zero ownership or IP rights over your local outputs.
5. Paid Subscriptions & Billing
Business Cloud subscriptions are billed in advance on a monthly or annual basis via Stripe. You may cancel your subscription at any time via your account portal. Fees are non-refundable except where required by law.
6. Referral and Affiliate Programs
Invited customers. A person who signs up through an AGNT invite link and has never had an AGNT subscription may start Personal with a 30-day free trial. During the trial the free plan's limits on the customer's own computer are lifted (agents, workflows, automations and connected apps). Cloud hosting and hosted services are not included in the trial and begin with the first paid billing period. A payment card is required to start, and the subscription renews at the published price unless cancelled before the trial ends.
Referral credit. When a customer you referred pays their first invoice, AGNT adds one month of Personal Cloud ($29) as account credit, applied to your future AGNT invoices. Credit has no cash value and cannot be transferred. At most 12 credits are granted in any 12-month period.
Affiliate commission. If you have completed Stripe Connect onboarding before a referred customer's first paid invoice, you earn 30% of each subscription payment that customer makes during the 12 months starting with that first paid invoice, instead of the referral credit. Commissions are transferred through Stripe Connect from the customer's payment and are subject to Stripe's terms and payout schedule. For any one referred customer you earn either the credit or the commission, never both.
Refunds and disputes. If a payment is refunded or disputed, the commission on that payment is reversed, and any referral credit it earned is removed if it has not yet been used. Cancelling a subscription does not reverse rewards already earned.
Fair use. You may not refer yourself, create accounts to earn rewards, or misrepresent AGNT. AGNT may withhold or reverse rewards obtained in breach of these terms and may change or end the program with notice; rewards already earned are honoured.
Not a partnership. The referral and affiliate programs pay rewards for referrals only. They do not make you a Certified AGNT Partner and do not authorize you to resell AGNT, sell paid AGNT services, or represent AGNT. Certified Partner status requires a signed AGNT Partner Program agreement, as described in the AGNT Community Core License.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNT GG, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF YOUR USE OF THE SOFTWARE.
