# AGNT Contributor Agreement

## 1. Parties

This agreement is between you (**"Contributor"**) and **AGNT GG, Inc.**, which also does business as
"AGNT", "AGNT.gg", and "AGNT Labs" (**"AGNT"**). If you contribute on behalf of an employer or other
organization, you confirm that you are authorized to bind it, and "Contributor" includes it.

## 2. Contribution

**"Contribution"** means any code, documentation, design, or other material you submit to AGNT for
inclusion in AGNT software, including by pull request, commit, patch, issue, or message, whether
submitted before or after you sign this agreement.

## 3. Assignment of Ownership

You hereby assign to AGNT all right, title, and interest in and to each Contribution, including all
copyrights, patent rights, and other intellectual property rights. Where an assignment is not permitted
by law, you grant AGNT an exclusive, perpetual, irrevocable, worldwide, royalty-free, transferable, and
sublicensable license to use, modify, distribute, license, and commercialize the Contribution for any
purpose. You waive, or agree not to assert, any moral rights in each Contribution.

## 4. No Compensation

You are not entitled to any payment, royalty, revenue share, equity, credit, or other compensation for
any Contribution, whether or not AGNT uses it or earns money from it.

## 5. No License or Status

Contributing does not grant you any paid license, Certified Partner status, Enterprise rights, Referral
Program benefits, or any right to AGNT software beyond the AGNT Community Core License, and does not
relieve you of any of its restrictions.

## 6. No Obligation

AGNT may accept, modify, reject, or remove any Contribution at its sole discretion, and has no
obligation to use it or credit you.

## 7. Your Promises

For each Contribution, you confirm that:

1. it is your original work, or you have the right to submit it on these terms;
2. if your employer or anyone else has rights in it, you have their written permission to submit it
   on these terms;
3. you identify any third-party material in it, and that material's license, when you submit it; and
4. to your knowledge, it does not infringe anyone's rights.

## 8. Further Documents

You will sign any document AGNT reasonably requests to confirm, record, or enforce these terms.

## 9. General

This agreement applies to all Contributions you have submitted or will submit, and survives the end
of your participation. It is governed by the laws of the State of Delaware and applicable United
States federal law, and the state and federal courts located in Delaware have exclusive jurisdiction
over any dispute arising from it. If any provision is held unenforceable, the rest remains in effect.

By signing electronically, including by clicking "I agree" through AGNT's contributor agreement
process, you accept this agreement.
